Current Ukrainian legislation provides the following types of transformation of enterprises, requiring consent of the Antimonopoly Committee of Ukraine (AMCU): - Division of an enterprise – liquidation (association) together with establishing thereon of two (or more) new independent companies; - Merging of enterprises - termination of two (or more) entities and transfer under a transfer balance sheet of all property rights and obligations to an entity that was created as a result of reorganization. Services from antitrust legislation include: - Obtaining consents from the AMCU for concerted antitrust practices; - Obtaining consents from the AMCU for division and merger (concentration); - Effective legal assistance during inspections of the company by the AMCU; - Appeal against decisions of the AMCU, and others. This service is important for large companies in the formation of holding companies and restructuring thereof. |
